Effective date: [date the page goes live] · Last updated: [same date]

These Terms of Use ("Terms") govern your use of ProsSight, a client portal and reporting platform operated by [ProsSight legal entity name, LLC] ("ProsSight," "we," "us"). By creating an account, connecting a QuickBooks company or using the service, you agree to these Terms. If you use ProsSight on behalf of a company or firm, you agree for that organization.

1. Who uses ProsSight

A Firm's separate subscription or partner agreement with ProsSight governs pricing, service levels and any terms that conflict with these.

3. Connecting QuickBooks Online

4. Your data

5. Not tax, legal, financial or investment advice

ProsSight shows financial reports and estimates, including projected taxes, estimated payments, safe-harbor calculations and strategy savings. These are estimates for planning only. They depend on the data in your books and the information your Firm enters, and they may not include every factor that affects your taxes. They are not a tax return and not a guarantee of any result.

ProsSight does not recommend investments, securities or financial products. Professional advice comes from your Firm's professionals, not from ProsSight. Talk with your Firm before acting on any figure in the portal.

8. Fees

Firms pay the fees in their subscription or partner agreement. Clients are not charged by ProsSight unless a separate written agreement says otherwise. A Firm may bundle portal access into its own fees.

9. Availability and changes

We work to keep ProsSight available and secure, but the service may be interrupted for maintenance or for reasons outside our control, including changes to QuickBooks. We may update features over time and will give Firms notice of material changes.

10. Ending your use

11. Disclaimers

To the extent allowed by law, ProsSight is provided "as is" and "as available," without warranties of any kind, including accuracy, fitness for a particular purpose and non-infringement. Reports depend on the accuracy of the underlying books.

12. Limitation of liability

To the extent allowed by law, ProsSight is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, taxes, penalties or interest arising from use of the service or reliance on any estimate. ProsSight's total liability for any claim is limited to the fees paid to ProsSight for the service in the 12 months before the claim. A Firm's partner agreement may set different limits.

13. Indemnity

You agree to cover ProsSight's reasonable costs from claims caused by your misuse of the service or your violation of these Terms.

14. Governing law

These Terms are governed by the laws of the State of [Texas], without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in [Dallas County, Texas], unless a Firm's agreement provides otherwise.

15. Changes to these Terms

We may update these Terms. We will post the new version here with a new "Last updated" date and notify Firms of material changes. Continued use after changes take effect means you accept them.
